1. Agreement to Terms

By accessing or using Ladder ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including our web application and Chrome extension.

2. Description of Service

Ladder is a Twitter/X growth and engagement platform that provides:

• AI-powered reply suggestions
• Engagement opportunity discovery and scoring
• Twitter UI cleanup features
• Content scheduling and drafting tools
• Analytics and insights

3. Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for safeguarding the credentials used to access the Service and for any activities or actions under your account. You must notify us immediately of any unauthorized access.

3.3 Twitter/X Connection

The Service requires connection to your Twitter/X account. By connecting, you authorize us to access your Twitter/X data as described in our Privacy Policy and to post content on your behalf only when you explicitly choose to.

4. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Violate Twitter/X's Terms of Service or Community Guidelines
• Engage in spam, harassment, or abusive behavior
• Generate misleading, deceptive, or harmful content
• Impersonate others or misrepresent your identity
• Attempt to circumvent rate limits or usage restrictions
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to abuse the Service
• Share your account credentials with others

5. AI-Generated Content

The Service uses AI to generate reply suggestions. You acknowledge that:

• AI suggestions are provided as a starting point and may require editing
• You are solely responsible for reviewing and posting any content
• AI may occasionally produce inaccurate or inappropriate suggestions
• You must not use AI to generate harmful, illegal, or abusive content

6. Subscriptions and Payment

6.1 Free and Pro Tiers

Ladder offers a free tier with limited features and a Pro tier with additional capabilities. Pro features require a paid subscription.

6.2 Billing

Pro subscriptions are billed monthly or annually in advance. Payment is processed through Stripe. You agree to pay all fees associated with your subscription.

6.3 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access to Pro features until the end of your billing period
• No refunds are provided for partial billing periods
• Your account reverts to the free tier after the billing period ends

6.4 Price Changes

We may change subscription prices with 30 days' notice. Continued use after the change constitutes acceptance of the new prices.

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by Ladder and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

7.2 Your Content

You retain ownership of content you create using the Service. By using the Service, you grant us a license to process your content for the purpose of providing the Service (e.g., analyzing your writing style for AI suggestions).

8. Chrome Extension

The Ladder Chrome extension is subject to additional terms:

• The extension only operates on twitter.com and x.com
• You may remove the extension at any time
• Updates may be automatically installed
• The extension is also subject to the Chrome Web Store Terms of Service

9. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we determine:

• Violates these Terms or our policies
• Is harmful to other users or the Service
• Violates Twitter/X's terms or any applicable laws

Upon termination, your right to use the Service will immediately cease.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free
• AI suggestions will be accurate or appropriate
• Using the Service will result in Twitter/X growth
• The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LADDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

12. Indemnification

You agree to indemnify and hold harmless Ladder and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ladder operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
